Terms of Service

1. Acceptance and provider

These Terms of Service form an agreement between you and SAMRUOL Digital Systems, an independent technology practice based in Cambodia. By accessing our website, connecting a Meta account or Facebook Page, approving a proposal, or using a SAMRUOL service, you agree to these terms and our Privacy Policy.

If you act for a business or organization, you confirm that you are authorized to accept these terms on its behalf. If you do not agree, do not use the service.

2. The service

SAMRUOL provides digital setup, integration, support, and software-enabled services for businesses. Depending on the agreed scope, features may include a Facebook Messenger connection, a shared inbox, conversation history, contacts, approved business knowledge, AI-assisted replies, lead capture, human handoff, analytics, or related integrations.

Your proposal, order, statement of work, or plan describes the features, limits, fees, support, and delivery terms purchased by your business. If it conflicts with these general terms, the signed or accepted project document controls for that project.

3. Accounts and permissions

• Provide accurate account and business information and keep it current.
• Protect passwords, access tokens, recovery methods, and administrator access.
• Connect only Pages, accounts, data, and systems that you are authorized to manage.
• Promptly tell us about unauthorized access or a suspected security incident.
• Remain responsible for activity performed by your staff, agents, and connected accounts.

4. Acceptable use

You must use the service lawfully and in accordance with Meta’s terms, messaging rules, and developer policies. You must not use the service to:

• Send unlawful, deceptive, abusive, discriminatory, or unsolicited messages.
• Impersonate another person or business, infringe rights, or misrepresent products and availability.
• Collect passwords, payment-card details, government identifiers, medical information, or other sensitive data unless expressly agreed and legally permitted.
• Upload malware, bypass security, probe the service, overload systems, or interfere with another user.
• Use AI output for high-impact decisions or professional advice without qualified human review.
• Resell, copy, reverse engineer, or exploit the service except as allowed in writing or by applicable law.

5. Your content and data

You retain ownership of content and data you provide or lawfully control. You grant us a limited, non-exclusive right to host, process, transmit, format, and display that content only as needed to provide, secure, and support the service and comply with law.

You are responsible for having the notices, permissions, and lawful basis needed to provide customer, employee, Page, catalog, and knowledge-base data to the service. You are also responsible for the accuracy and legality of instructions and approved business content.

6. AI-assisted features and human review

AI-assisted responses are suggestions generated from available context and may be inaccurate, incomplete, or unsuitable. You must review important outputs, maintain accurate source information, configure human handoff, and keep orders, payments, legal commitments, medical matters, financial decisions, and other high-impact actions under appropriate human control.

We do not guarantee that an AI feature will answer every question, prevent every unsuitable response, or operate without interruption. You remain responsible for messages sent from your connected business accounts unless a project document states otherwise.

7. Meta and other third-party services

SAMRUOL is an independent service and is not Facebook, Meta, or endorsed by Meta. Facebook, Messenger, and other third-party products are governed by their own terms and privacy policies.

Third parties may change permissions, APIs, pricing, review rules, availability, or access. We are not responsible for third-party outages or policy decisions, but we will make reasonable efforts to explain their effect on the agreed service.

8. Fees and payment

Fees, taxes, payment dates, renewal terms, usage limits, and refund terms are stated in the applicable proposal or order. Software subscriptions, Meta or messaging charges, hosting, data cleanup, custom development, and third-party services are separate unless expressly included.

Overdue or materially excessive usage may result in restricted service after reasonable notice. Work outside the agreed scope requires approval and may be charged separately.

9. SAMRUOL materials

SAMRUOL and its licensors retain rights in the service, software, designs, documentation, methods, templates, trademarks, and improvements, excluding your content. No rights are granted except the limited right to use the agreed service during the applicable term.

Project-specific ownership, source-code delivery, reusable components, and licenses are governed by the applicable proposal or written agreement.

10. Availability and changes

We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, security work, internet failures, third-party changes, or events outside reasonable control may affect availability.

We may improve, replace, limit, or discontinue features. Where a material change affects a paid service, we will provide reasonable notice when practicable.

11. Suspension and termination

You may stop using the service and disconnect authorized accounts. Contract cancellation and refunds follow the applicable proposal or order.

We may suspend or terminate access for non-payment, unlawful use, security risk, material breach, platform requirement, or harm to users or systems. Where appropriate, we will provide notice and an opportunity to correct the issue. Sections that by nature should continue after termination remain effective.

12. Disclaimers

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any guarantee of specific business results, revenue, approval by Meta, or accuracy of AI output.

13. Limitation of liability

To the maximum extent permitted by law, SAMRUOL will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, data, goodwill, or business opportunity. Our total liability arising from a paid service will not exceed the fees paid to SAMRUOL for that service during the three months before the event giving rise to the claim.

These limits do not apply where liability cannot lawfully be limited. You remain responsible for your content, connected accounts, staff activity, customer communications, and breach of these terms or third-party rights.

14. Governing law and changes

These terms are governed by the laws of Cambodia, without regard to conflict-of-law rules. The parties should first try in good faith to resolve a dispute through direct discussion before pursuing available legal remedies.

We may update these terms as the service, law, or platform rules change. The revised version applies from the date posted, unless a later date is stated. Continued use after the effective date means you accept the updated terms.
